Terms of service
These terms govern use of wholesale.sohibrands.com and every wholesale order placed with SOHI Ventures LLC (DBA SOHI Brands). By opening an account or placing an order you agree to them, together with our Wholesale Terms, Refund Policy, and Shipping Policy.
1. Accounts
Wholesale accounts are for licensed retailers and distributors reselling SOHI products to consumers 21 and older. You are responsible for keeping your login credentials secure and for all orders placed under your account. Notify us immediately of unauthorized use. SOHI may approve, decline, suspend, or close any account at its discretion.
2. Orders and acceptance
An order is accepted when SOHI confirms it by email. SOHI may refuse or cancel any order, including for pricing errors, suspected fraud, resale to unapproved channels, or product unavailability. If we cancel a paid order you receive a full refund.
3. Pricing
Prices are in US dollars, exclude shipping and taxes, and are subject to change with 30 days notice to active accounts. Volume price breaks apply automatically at the quantities shown in your account. Obvious pricing errors on the site are not binding.
4. Payment
Payment is due at checkout unless net terms have been granted in writing and appear in your account. Late balances accrue 1.5% per month or the maximum allowed by law, whichever is less. Orders will not ship on accounts with past due balances.
5. Minimum Advertised Price
SOHI products carry a Minimum Advertised Price as published in our Wholesale Terms. Advertising below MAP in any channel may result in loss of wholesale pricing or account closure.
6. Resale restrictions
Products may be sold only to end consumers in original sealed packaging, only to persons 21 and older, and only where legal. No repackaging or relabeling. No sales on Amazon, eBay, Walmart Marketplace, or similar third-party marketplaces without written approval.
7. Compliance
You are responsible for complying with all federal, state, and local laws that apply to the sale of kanna and botanical dietary supplements in your jurisdiction, including age verification, labeling, registration, and tax obligations.
8. Intellectual property
SOHI, the SOHI logo, product names, packaging designs, and all site content are the property of SOHI Ventures LLC. You may use marketing assets we provide to promote SOHI products in your store and online. Any other use requires written permission.
9. Product information and claims
Products are dietary supplements. Statements on this site have not been evaluated by the Food and Drug Administration. Products are not intended to diagnose, treat, cure, or prevent any disease. You agree not to make health or drug-comparison claims about SOHI products that SOHI has not published.
10. Limitation of liability
To the fullest extent permitted by law, SOHI's total liability for any claim arising from an order is limited to the amount paid for that order. SOHI is not liable for indirect, incidental, or consequential damages, including lost profits.
11. Governing law
These terms are governed by the laws of the State of Colorado. Disputes will be resolved in the state or federal courts located in Denver County, Colorado.
12. Changes
SOHI may update these terms at any time by posting the revised version here. Continued use of the site or placement of orders after a change constitutes acceptance.
